Terms of Service

These Terms of Service ("Terms") govern your use of CarFlow, a vehicle repair queue and management application operated by Luminest ("we," "our," or "us"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using CarFlow (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

CarFlow is a SaaS application that helps used car dealerships manage their vehicle inventory, repair workflows, team coordination, and financial tracking. The Service includes mobile applications (iOS, Android), desktop applications (Windows), and web access.

3. Accounts

Registration

You must create an account to use the Service. You agree to provide accurate, current information and keep your account credentials secure. You are responsible for all activity under your account.

Business Accounts

The account creator ("Owner") establishes the business workspace. The Owner may invite team members via invite codes. Team members are assigned roles (Owner, Field Agent, or Accountant) that determine their permissions within the Service.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at support@luminest.io if you suspect unauthorized access to your account.

4. Subscriptions and Billing

Plans

CarFlow offers subscription plans (Starter, Professional, Enterprise) with varying features and team size limits. Current pricing is available on our website and within the app.

Payment

Subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are in US dollars.

Cancellation

You may cancel your subscription at any time through the app settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Changes to Pricing

We may change subscription pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Upload malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to the Service or other users' accounts.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to store or transmit content that infringes on third-party intellectual property rights.
• Share your account credentials with unauthorized individuals.
• Use automated tools to scrape, crawl, or extract data from the Service.

6. Your Data

Ownership

You retain ownership of all data you upload to the Service, including vehicle information, photos, documents, and business records ("Your Data"). We do not claim ownership of Your Data.

License

You grant us a limited license to use, store, and process Your Data solely for the purpose of providing and improving the Service.

Data Export

You may export Your Data in PDF or CSV format at any time through the app's reporting features.

Data Deletion

Upon account deletion, we will delete Your Data in accordance with our Privacy Policy and Data Deletion Policy.

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Luminest and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, Luminest shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of profits, or business interruption. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Luminest from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Sections regarding data ownership, limitation of liability, and indemnification survive termination.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the app or via email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Texas.
